Terms of Service

Reminder: DALIL is a digital intermediary, not a law firm. No lawyer-client relationship exists between you and DALIL.

1. Nature of DALIL — Marketplace, Not Law Firm

DALIL (operated by DALIL Legal Technologies LLC, licensed in the UAE) is an electronic marketplace platform that facilitates connections between individuals seeking legal services ("Finders") and independent, licensed legal professionals ("Professionals"). DALIL does NOT: • Provide legal advice, opinions, or representation • Practice law in any jurisdiction • Guarantee outcomes of any legal matter • Create or imply any lawyer-client relationship between DALIL and any user Any lawyer-client relationship, if formed, exists solely between the Finder and the Professional, subject to their separate engagement agreement. DALIL is not a party to that relationship.

2. Platform Scope and Permitted Use

The DALIL platform is licensed for use within the United Arab Emirates. Users must: • Be at least 18 years of age • Provide accurate identity and contact information • Use the platform only for lawful purposes • Engage only through the DALIL platform for all communications, payments, and document exchanges relating to matters initiated on DALIL Accounts may not be transferred, shared, or used by more than one individual.

3. Professional Verification — "Verified by DALIL" Badge

The "Verified by DALIL" designation means DALIL has completed the following checks at the time of approval: • UAE Bar Association or relevant authority licence verification • Emirates ID or passport verification • Practice certificate authenticity check • Disciplinary record check (where publicly available) • Bank account ownership verification Verification does NOT constitute endorsement of the Professional's legal advice or guarantee of service quality. Verification status is subject to periodic re-verification and may be revoked upon disciplinary action, licence expiry, or breach of platform rules.

4. Anti-Circumvention — Mandatory Platform Use

To protect both Finders and Professionals, ALL of the following must take place exclusively within the DALIL platform for any matter initiated on DALIL: • Communications (messages, calls, video sessions) • Document exchange • Payment and invoicing • Proposal submission and acceptance Attempting to share, solicit, or accept contact information (phone numbers, email addresses, WhatsApp, social media handles) for the purpose of continuing or initiating a professional relationship outside DALIL constitutes a material breach of these Terms. Consequences of violation include: immediate account suspension, forfeiture of any held funds, and reporting to relevant licensing authorities where legally required.

5. Payment, Fees, and Escrow

5.1 Platform Facilitation Fee: DALIL charges a 20% facilitation fee on all gross amounts paid by Finders to Professionals. This fee is deducted from the gross payment before funds are transferred to the Professional's wallet. 5.2 Escrow Mechanism: All payments are held in escrow by DALIL's licensed payment processor. Funds are released to the Professional's wallet only upon: (a) Finder confirmation of service completion; or (b) automatic release 72 hours after the scheduled session/milestone end date, unless a dispute is raised. 5.3 VAT: Where applicable under UAE Federal Decree-Law No. 8 of 2017, 5% VAT is applied to the platform facilitation fee. 5.4 Withdrawals: Professionals may withdraw available wallet balances to their verified UAE IBAN within 2–3 business days. DALIL reserves the right to hold withdrawals during active dispute investigations.

6. Refunds and Dispute Resolution

Please refer to the full Dispute & Refund Policy at /legal/disputes. In summary: • Refund requests must be submitted within 7 days of service completion • Disputes are reviewed by DALIL's neutral Resolution Officers within 5 business days • Resolution outcomes may include full release, partial release, full refund, or partial refund • DALIL's decision is final within the platform but does not affect parties' rights under UAE law to pursue external remedies

7. Call and Session Recording

Audio and video sessions on DALIL may be recorded for compliance, dispute evidence, and quality assurance purposes. Recording requires explicit consent from all participants prior to session commencement. Recordings are stored encrypted for 90 days and are accessible only to DALIL compliance officers in connection with active disputes or regulatory requests. Recording without consent of all parties may constitute a criminal offence under UAE Federal Law No. 5 of 2012 (Cybercrime Law). DALIL does not share session recordings with third parties except as required by law.

8. Data Protection and Privacy

DALIL processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL). Please refer to our full Privacy & Data Policy at /legal/privacy for details on data categories collected, processing purposes, retention periods, and your rights as a data subject.

9. Content and Communication Moderation

DALIL employs automated and manual moderation on platform messages to detect and prevent: • Sharing of external contact information • Solicitation of off-platform payments • Discriminatory, abusive, or unlawful content • Breach of professional conduct standards Messages found to breach these rules may be redacted, and accounts may be suspended without prior notice.

10. Limitation of Liability

To the maximum extent permitted by UAE law, DALIL's total liability to any user for any claim arising from platform use shall not exceed the total platform fees paid by that user in the 12 months preceding the claim. DALIL is not liable for: the quality of legal services provided by Professionals, outcomes of legal matters, or data breaches attributable to third-party payment processors.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, unless the parties agree in writing to alternative dispute resolution.

12. Policy Versioning and Acceptance

These Terms carry version number 2.1, effective 1 January 2026. Material changes to these Terms require re-acceptance by existing users before continued platform use. Your continued use of DALIL after the effective date of any update constitutes acceptance of the revised Terms. Version history is maintained and available on request.
